This End User License Agreement (the “Agreement”) constitutes a legally binding agreement between you (the “User”, “you”) and FlowBridge Services L.L.C-FZ (the “Company”, “we”, “us”). It governs the terms and conditions under which you may access, purchase, and use software through the Company’s platform and related services (collectively, the “Service”).

This Agreement is intended to be interpreted in accordance with applicable laws and regulations of the United Arab Emirates.

PLEASE READ THIS AGREEMENT CAREFULLY. BY USING THE SERVICE AND MAKING ANY PURCHASES THROUGH IT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USING THE SERVICE AND REFRAIN FROM MAKING ANY PURCHASES.

Continued use of the Service following any updates constitutes acceptance of the revised Agreement. The Company may update this Agreement from time to time to reflect operational, technical, or legal changes. Where reasonably practicable, notice of such changes will be provided.

Eligibility

By using the Service, you confirm that you have reached the age of legal capacity under your applicable personal law and that you are legally entitled to enter into this Agreement.

If your use of the Service is prohibited under applicable law, including UAE law or your jurisdiction of residence, you must not access or use the Service. Any such use shall be at your sole responsibility.

If you are engaging any illegal activity under the applicable legislation, you must not access or use the Service.

If you are under UAE, US, UN sanctions, you must not access or use the Service.

Terms of Use

The Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service strictly in accordance with this Agreement.

All intellectual property rights in the Service remain the exclusive property of the Company or its licensors.

You shall not:

copy, distribute, sell, sublicense, or commercially exploit the Service;
modify, reverse engineer, decompile, or derive source code;
use the Service for any unlawful, unauthorized, or prohibited purpose under applicable law;
transfer or assign any rights granted herein without prior written consent.

Purchase of Software

The Service enables you to purchase software for which distribution rights have been lawfully obtained by the Company from the relevant developer or publisher for resale to end users (the “Software”).

Upon purchase, you are granted a personal, limited, non-exclusive, non-transferable, and non-sublicensable license to use the selected Software.

You acknowledge that:

you do not acquire ownership rights in the Software;
all intellectual property rights remain with the original rights holder;
the license is strictly for personal use unless otherwise expressly stated.

The Company may take reasonable measures to monitor compliance and may suspend or terminate access in case of breach of this Agreement or applicable laws.

Payment Methods

The Service supports various payment methods, which may vary depending on jurisdiction, regulatory requirements, and payment providers.

By using any payment method, you represent and warrant that:

you are legally authorized to use it;
all payment details provided are accurate and complete;
you consent to the processing and storage of such data in accordance with applicable data protection laws;
the Company may share necessary information with payment service providers for transaction execution.

You acknowledge that additional charges may be applied by your financial institution or payment provider, which are outside the Company’s control.

Secure Storage and Reuse of Payment Data

By providing payment details, you expressly authorize the Company to store your payment credentials in secure, tokenized form for the purpose of facilitating future transactions.

Such storage and processing shall be carried out in compliance with applicable data protection laws, including relevant UAE data protection regulations where applicable.

You may withdraw your consent at any time by contacting support. Upon withdrawal, the Company will cease further use of stored payment credentials, except where retention is required for legal, regulatory, or compliance purposes.

Subscription

The Software is provided on a subscription basis. By purchasing a subscription, you authorize the Company to charge your selected payment method on a recurring basis in accordance with the applicable billing cycle.

Subscriptions renew automatically unless cancelled in accordance with this Agreement.

You undertake to ensure timely payment of all applicable fees until cancellation.

Changes to Subscription Fees

Subscription fees may be modified from time to time. In such cases, the Company will provide reasonable prior notice (not less than 3 calendar days).

If you do not agree to the revised fees, you may cancel your subscription prior to the next billing cycle. Continued use after notice shall be deemed acceptance of the updated pricing.

Cancellation

You may cancel your subscription at any time via the Service.

No refunds shall be issued for any already-charged subscription period; however, access will remain active until the end of the paid term.

Failure to complete payment may result in suspension and subsequent cancellation of the subscription.

The Company reserves the right to suspend or terminate subscriptions in case of breach of this Agreement or applicable policies.

Distributor Option

The Service may allow purchases for redistribution purposes as gifts or rewards (the “Distributor Model”).

Such use shall be governed by a separate Distributor Agreement, where applicable.

Prohibited Use

You are strictly prohibited from using the Service or Software for any unlawful or restricted activities under applicable UAE law or other applicable jurisdictions, including but not limited to:

illegal activities, hate speech, violence, or discrimination;
fraud, deception, or facilitation of unlawful conduct;
distribution or sale of prohibited goods, including drugs, weapons, tobacco, illegal documents, stolen goods, or counterfeit items;
unlicensed financial schemes, including Ponzi or pyramid schemes, or unauthorized gambling activities;
infringement of intellectual property rights or distribution of unlicensed content;
any other activity prohibited under applicable law or regulatory requirements.

The Company reserves the right to monitor usage and may suspend or terminate access without prior notice in case of suspected prohibited use.

Suspension and Termination

The Company may suspend or terminate your access to the Software at its sole discretion if it reasonably determines that you are in breach of this Agreement or applicable law.

Such determinations may be based on internal risk management and compliance procedures, which are confidential and not subject to disclosure.

You may terminate your use of the Service by providing notice via support. Termination shall take effect within five (5) business days.

The Company may retain relevant records for up to five (5) years following termination in accordance with applicable legal and regulatory requirements.

Taxes

The Company does not generally calculate, withhold, or remit taxes on behalf of Users.

However, where required under applicable law (including UAE tax regulations if applicable), the Company may deduct or withhold taxes from payments due.

You agree to provide any requested tax documentation within two (2) calendar days of request.

“As Is”

The Service and Software are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, the Company disclaims all warranties, whether express or implied, including fitness for purpose, performance, accuracy, or uninterrupted availability.

The Company does not guarantee error-free operation, continuous availability, or that defects will be corrected.

Features and functionality may be updated, modified, or removed without prior notice.

Limitation of Liability

To the maximum extent permitted under applicable law, the Company shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or data.

In all cases, the Company’s total liability shall not exceed 200 AED, subject to a final and binding judicial or arbitral decision.

Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and representatives from any claims, losses, damages, or expenses arising from your use of the Service or breach of this Agreement.

Force Majeure

The Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, government actions, pandemics, technical failures, or similar extraordinary events.

Severability

If any provision is found invalid or unenforceable, it shall be interpreted to reflect its original intent to the maximum extent permitted by law, without affecting the validity of the remaining provisions.

Third-Party Services

The Service may include links or access to third-party services. The Company does not control and is not responsible for such services. Use is at your own risk.

Governing Law and Jurisdiction

This Agreement shall be governed by the substantive law of UAE.

Any dispute shall be resolved exclusively by the courts of Hong Kong, unless otherwise required by the Applicable legislation of the UAE.

Privacy

Personal data is processed in accordance with the Company’s Privacy Policy and applicable data protection laws, including relevant UAE regulations where applicable.

Communications

All notices and communications sent via the Service shall be deemed duly delivered and received
